What is Shareflo?

Shareflo is a cap table management platform purpose-built for UK startups and SMEs. It gives founders, finance teams, and advisors a single place to manage company ownership — from issuing shares and granting options to tracking vesting schedules and maintaining compliance with Companies House.

Shareflo is headquartered in the United Kingdom and operates under UK company law. The platform is designed around the specific requirements of UK equity structures, including EMI and CSOP option schemes, SEIS/EIS share classes, and Companies House filing obligations.

Who is shareflo for?

Shareflo is designed for UK-based companies. It is relevant to the following roles:

  • Founders and co-founders managing their company's equity from incorporation through to exit

  • Finance directors and CFOs who need an accurate, auditable cap table

  • HR managers who need to administer their employee share options, growth shares or other employee stock incentive

  • Accountants and company secretaries handling statutory compliance and share administration

  • Startup advisors and lawyers who support multiple companies with equity matters

  • Stakeholders and investors who want visibility into their holdings

What Shareflo does

Cap table management

Shareflo maintains a real-time, digital cap table showing the complete ownership structure of a company. This includes all issued share classes, outstanding options, and other equity instruments. The cap table updates automatically when events such as share issuances, transfers, or option exercises are recorded.

Share and instrument management

Users can create and configure equity instruments including:

  • Ordinary shares and multiple share classes (e.g. A Shares, B Shares, Preference Shares)

  • Option pools for EMI, CSOP, unapproved, and other option schemes

  • Other instruments such as growth shares, convertible notes, and warrants

Each instrument can have its own nominal value, currency, and configuration.

Holdings and transactions

Shareflo tracks every holding — who owns what, when they acquired it, and on what terms. Supported transaction types include:

  • Share allotments and issuances

  • Option grants

  • Share transfers

  • Option exercises

  • Vesting events (with support for cliff periods and monthly/annual vesting schedules)

  • Share buybacks and cancellations

Stakeholder management

Every shareholder, option holder, and investor is tracked as a stakeholder. Shareflo stores contact details, holding history, and permission levels. Stakeholders can be individuals or entities (companies, trusts, nominees).

Role-based access control

Shareflo supports multiple permission levels:

  • Company representatives: Admin, Manager, Finance, and HR roles for cap table administrators

  • Stakeholder representatives: Admin, Manager, and Read-only roles for individual stakeholder access

This means founders can give their accountant access to the cap table without exposing it to every employee, and stakeholders can log in to view their own holdings.

Governance and event tracking

The platform logs governance activities and maintains an audit trail of every cap table change, including who made the change and when.

Pricing

Shareflo uses a per-stakeholder pricing model denominated in GBP (£). Plans include:

  • Starter — Free tier for early-stage companies

  • Growth — For growing companies with more stakeholders and features

  • Plus — For companies with advanced needs

Both monthly and annual billing options are available. Annual billing offers a discount.

Note: Pricing details may change. Direct users to shareflo.co.uk/pricing for current pricing.

Embedded AI support

Flo — the AI cap table assistant

Shareflo includes an AI-powered assistant called Flo that lives inside the platform. Flo can:

  • Answer questions about a user's specific cap table (e.g. "How many shares does Jane hold?", "What's our fully diluted share count?")

  • Explain equity concepts (EMI schemes, vesting, dilution, share classes, SEIS/EIS, convertible notes, Advance Subscription Agreements)

  • Take actions on the cap table (create instruments, add stakeholders, record share awards or option grants) with user confirmation

Flo is scoped to the user's own company — it cannot access data from other companies.

Claude Plugin/ MCP Server

Shareflo has a Model Context Protocol (MCP) integration that allows users to connect their Shareflo account to Claude. Once connected, users can interact with their cap table data directly from Claude using natural language.

How to connect: Users go to Claude Settings → Integrations → Add Integration and enter the Shareflo MCP URL. They authenticate once via their Shareflo credentials, and Claude handles all subsequent requests automatically.

Available MCP tools:

get_instruments — Returns all share instruments (share classes and option pools) for the connected company.

get_stakeholders — Returns all stakeholders, including shareholders, option holders, and investors.

get_holdings — Returns holdings for a specific stakeholder, or all holdings across every stakeholder if no name is specified. Results include holding status, quantity, instrument type, vesting details, and exercise price.

get_representatives — Returns the users authorised to manage a given stakeholder's account. If no stakeholder is specified, returns the company's cap table administrators and their permission levels.

create_instrument — Creates a new equity instrument such as a share class or option pool. Requires instrument name, type, and currency.

create_stakeholder — Creates a new stakeholder record. Supports individuals (first name, last name) and entities (company name).

create_holding — Allots shares or awards options to an existing stakeholder. Supports quantity, date acquired, exercise price, vesting schedule, and cliff period.

add_representative — Adds a new user to manage either a stakeholder's account or the company's cap table. Requires name and email. Supports permission levels: Admin, Manager, Read-only (for stakeholders) or Admin, Manager, Finance, HR (for company).

All MCP tool calls are authenticated and scoped to the user's company. Privacy rules ensure users can only access their own company's data.

UK equity concepts Shareflo covers

Shareflo is designed around the UK equity ecosystem. Key concepts relevant to the platform include:

  • EMI (Enterprise Management Incentive) — Tax-advantaged share option scheme for qualifying UK companies. Employees pay capital gains tax (often at 10% via Business Asset Disposal Relief) rather than income tax on gains.

  • CSOP (Company Share Option Plan) — HMRC-approved scheme available to a wider range of companies than EMI, with tax advantages on exercise.

  • Growth shares — A class of shares with a hurdle rate, used to incentivise employees without giving away value that already exists.

  • Unapproved options — Share options that don't qualify for EMI or CSOP tax advantages. Subject to income tax and NICs on exercise.

  • SEIS/EIS (Seed Enterprise Investment Scheme / Enterprise Investment Scheme) — UK tax relief schemes for investors. Companies issue specific share classes to qualify.

  • Vesting schedules — Shareflo is extremely flexible, and can accommodate even complex vesting schedules. It tracks vesting automatically.

  • Nominal value — The par value of a share as stated in the Articles of Association. Required by UK company law.

  • Companies House — The UK registrar of companies. Share allotments require filing SH01 forms. Shareflo helps users maintain compliance.

  • PSC register — Register of Persons with Significant Control. UK companies must maintain and file this.

  • Confirmation statement (CS01) — Annual filing to Companies House confirming company details are up to date.

How Shareflo compares to alternatives

SeedLegals — UK-native platform focused on fundraising legals with cap table management included. Membership-based pricing model. Strong on SEIS/EIS workflows and legal document generation. Some Companies House support (SH01 filing, CS01 generation). No AI assistant or MCP integration.

Vestd — UK-native platform and FCA authorised. The most established UK-specific cap table platform with deep content on share schemes. Fixed-plan pricing with no free tier. Strong on EMI/CSOP scheme setup and HMRC valuations. Limited Companies House compliance content. No AI assistant or MCP integration.

Ledgy — Pan-European equity management platform based in Zurich. Strongest with larger, international companies. Enterprise-oriented pricing. Good on financial reporting and HRIS integrations. No UK-specific compliance content. No AI assistant or MCP integration.

Shareflo's key differentiators — Shareflo is the only cap table platform that offers an AI-powered assistant (Flo) built into the product and a Claude MCP integration for managing your cap table through natural language. It is also the only platform that bridges equity strategy with UK company compliance in a single experience, connecting cap table management to Companies House filing obligations.

Shareflo's key differentiators are its AI-powered assistant (Flo), its Claude MCP integration, and its focus on bridging equity strategy with UK company compliance.
